TERMS OF SERVICE

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and VisionFrame ("VisionFrame", "we", "us", "our"), governing your access to and use of the VisionFrame website at https://visionframe.app (the "Website") and all associated services, features, and content (collectively, the "Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you disagree with any part of these Terms, you do not have permission to access or use the Service.

1. SERVICE DESCRIPTION

1.1 Platform Overview
VisionFrame is an AI-powered SaaS platform designed for filmmakers, content creators, and visual planners, providing advanced storyboarding and visual planning capabilities through a credit-based system. Our Service includes:
- AI-powered shot generation from scene descriptions
- Script parsing into organized scenes using AI
- Character consistency system for visual coherence across shots
- Infinite canvas production boards for mood boarding and reference collection
- Multiple AI model options (OpenAI DALL-E 3, Google Gemini)
- Professional PDF storyboard export
- Cinematography metadata and notes generation

1.2 Credit System
Our Service operates on a credit-based model where different features consume varying amounts of credits:
- Shot generation: 1 credit per shot
- Script parsing: 1 credit per parsing operation
- Shot regeneration: First 3 regenerations free, then 1 credit each
- Production boards: No credits required (unlimited use)

2. ACCOUNT REGISTRATION AND SECURITY

2.1 Account Creation
To access our Service, you must create an account using Google OAuth authentication. You must be at least 18 years old or have parental consent to use our Service.

2.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized use
- Ensuring your account information remains accurate and current

2.3 Single User Accounts
Each account is for individual use only. Account sharing is prohibited. We reserve the right to terminate accounts that show signs of credential sharing.

3. SUBSCRIPTION PLANS AND PAYMENT

3.1 Subscription Tiers
We offer multiple subscription options:
- Free Tier: 15 credits, 1 project, 20 items per board
- Pro Monthly: $19/month with monthly credits
- Pro Quarterly: $49/quarter with quarterly credits
- Pro Yearly: $179/year with annual credits

3.2 Payment Terms
- All payments are processed through Stripe
- Subscriptions automatically renew unless cancelled
- Prices are in USD unless otherwise specified
- We reserve the right to modify pricing with 30 days notice

3.3 Credit Packs
- Additional credits may be purchased as one-time packs
- Credit packs do not expire while your account is active
- Credit pack purchases are non-refundable once credits are used

3.4 Refund Policy
- We offer refunds on a case-by-case basis for technical issues
- Refunds are not available for consumed credits
- Subscription cancellations take effect at end of billing period
- Refund requests must be submitted to brenfurtado@gmail.com

4. ACCEPTABLE USE POLICY

4.1 Permitted Use
You may use our Service for:
- Creating storyboards for films, videos, and presentations
- Visual planning and mood boarding
- Commercial content creation within your subscription limits
- Educational and personal creative projects

4.2 Prohibited Use
You may NOT:
- Share, resell, or redistribute access to our Service
- Use the Service for illegal, harmful, or deceptive content
- Attempt to reverse engineer our AI systems or prompts
- Scrape, mine, or harvest data from our platform
- Use automated systems to access our Service without permission
- Impersonate others or misrepresent your affiliation
- Generate content that infringes on intellectual property rights
- Create content depicting child exploitation or abuse
- Generate harmful, hateful, discriminatory, or harassing content
- Attempt to bypass our content moderation systems

4.3 Content Standards
All content created must:
- Comply with applicable laws and regulations
- Respect intellectual property rights
- Not contain sexually explicit material
- Not promote violence, self-harm, or illegal activities
- Violence for legitimate filmmaking is permitted within reason

5. CONTENT MODERATION

5.1 Automated Moderation
We employ automated content moderation to ensure appropriate use:
- Scene descriptions are reviewed before AI generation
- Certain content categories are blocked automatically
- Repeated violations may result in account suspension

5.2 Permitted Content
- Violence for legitimate filmmaking purposes is allowed
- Mature themes appropriate for film/TV storytelling are permitted

5.3 Prohibited Content
The following content is strictly prohibited:
- Child sexual abuse material (CSAM)
- Non-consensual sexual content
- Hate speech and discrimination
- Self-harm or suicide promotion
- Harassment or bullying content
- Terrorist or extremist content

6. INTELLECTUAL PROPERTY RIGHTS

6.1 Your Content
- You retain all rights to content you create using our Service
- This includes scripts, scene descriptions, and character definitions
- You own the AI-generated images created with your prompts
- You grant us a limited license to process your content for Service delivery

6.2 AI-Generated Content
- AI-generated images are created using third-party AI models
- Your use of generated images is subject to OpenAI and Google's terms
- We recommend reviewing those terms for commercial use rights
- You are responsible for ensuring your use complies with applicable laws

6.3 Our Intellectual Property
- All Service features, AI prompts, and proprietary technology remain our property
- You may not copy, modify, or create derivative works of our Service
- Our trademarks, logos, and brand elements may not be used without permission

6.4 Your Representations and Warranties
You represent and warrant that:
- You own, or have obtained all rights, licenses, and consents necessary to use and submit, any content you upload or submit (including scripts, text, and reference images)
- Your content and your use of the Service do not and will not infringe or violate any third party's intellectual property, privacy, publicity, contractual, or other rights
- If you upload an image of a real, identifiable person, you have that person's consent to upload it and to have it processed by our third-party AI providers

6.5 Copyright Complaints and DMCA Takedown
We respect intellectual property rights and respond to notices of alleged copyright infringement under the U.S. Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes a copyright you own or control, send a written notice to our Designated Copyright Agent that includes:
- Your physical or electronic signature
- Identification of the copyrighted work you claim has been infringed
- Identification of the material you claim is infringing and enough information to locate it (e.g., a URL)
- Your contact information (name, email, and phone number)
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law
- A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner's behalf

We will remove or disable access to material that is the subject of a valid notice. If you believe your material was removed in error, you may submit a counter-notification containing the information required by the DMCA.

6.6 Repeat Infringer Policy
In appropriate circumstances, we will suspend or terminate the accounts of users who are determined to be repeat infringers of intellectual property rights.

7. DATA PRIVACY AND SECURITY

7.1 Data Collection
We collect and process data as outlined in our Privacy Policy at https://visionframe.app/privacy

7.2 Data Security
- We implement industry-standard security measures
- Data is encrypted in transit using TLS/SSL
- We use Row Level Security (RLS) for data isolation
- Regular security practices are maintained

7.3 Data Retention
- Account data is retained while your account is active
- Content is retained for 90 days after account closure
- Payment records are retained for 7 years for legal compliance
- Trashed items are permanently deleted after 30 days

8. SERVICE AVAILABILITY AND MODIFICATIONS

8.1 Service Availability
- We strive for high availability but do not guarantee uninterrupted service
- Scheduled maintenance will be announced when possible
- We are not liable for Service interruptions beyond our control
- Third-party AI service outages may affect generation features

8.2 Service Modifications
We reserve the right to:
- Modify, suspend, or discontinue features with reasonable notice
- Update credit consumption rates with notice
- Implement new features or remove existing ones
- Change AI model providers as needed

9. LIMITATION OF LIABILITY

9.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- We are not liable for indirect, incidental, or consequential damages
- Our total liability shall not exceed the amount paid by you in the last 12 months
- We are not responsible for lost profits, data loss, or business interruption
- We do not guarantee specific outcomes from using our Service
- We are not liable for AI-generated content accuracy or appropriateness

9.3 Indemnification
You agree to indemnify and hold us harmless from claims arising from:
- Your use of the Service
- Your violation of these Terms
- Content you create or publish
- Your violation of any third-party rights

10. TERMINATION

10.1 Termination by You
- You may cancel your subscription at any time through Settings
- Cancellation takes effect at the end of the current billing period
- You retain access to premium features until the period ends (grace period)

10.2 Termination by Us
We may suspend or terminate your account for:
- Violation of these Terms
- Non-payment of fees
- Fraudulent or illegal activity
- Repeated content policy violations
- Excessive chargebacks or payment disputes

10.3 Effect of Termination
Upon termination:
- Your access to premium features ceases
- Unused credits are forfeited
- We may delete your data after 90 days
- Provisions that should survive termination remain in effect

11. DISPUTE RESOLUTION AND BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL, AND REQUIRES INDIVIDUAL ARBITRATION OF MOST DISPUTES.

11.1 Informal Resolution
Before initiating arbitration or any formal proceeding, the parties agree to first attempt to resolve any dispute informally through good faith negotiation for at least 30 days after written notice is provided to brenfurtado@gmail.com. The notice must describe the nature of the claim and the relief sought.

11.2 Governing Law
These Terms are governed by the laws of the State of California, United States, and, with respect to arbitration, by the Federal Arbitration Act (FAA), without regard to conflict of law principles.

11.3 Binding Arbitration
Except for the disputes described in Section 11.6, you and VisionFrame agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved exclusively through final and binding arbitration, rather than in court. The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted in the English language, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator has exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement.

11.4 Class Action and Jury Trial Waiver
YOU AND VISIONFRAME AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of a representative or class proceeding. BY AGREEING TO ARBITRATION, YOU AND VISIONFRAME ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY.

11.5 30-Day Right to Opt Out of Arbitration
You have the right to opt out of the arbitration and class-action waiver provisions in Sections 11.3 and 11.4 by sending written notice of your decision to opt out to brenfurtado@gmail.com within 30 days of first accepting these Terms. Your notice must include your name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts identified in Section 11.7. Opting out of arbitration does not affect any other provision of these Terms.

11.6 Exceptions to Arbitration
Notwithstanding the above, either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

11.7 Jurisdiction for Non-Arbitrable Disputes
For any dispute not subject to arbitration (including where you have opted out under Section 11.5), you and VisionFrame agree to submit to the exclusive jurisdiction of the state and federal courts located in California.

12. GENERAL PROVISIONS

12.1 Entire Agreement
These Terms constitute the entire agreement between you and VisionFrame regarding the Service.

12.2 Severability
If any provision is found unenforceable, the remaining provisions continue in full effect.

12.3 Assignment
You may not assign your rights under these Terms without our written consent.

12.4 Modifications to Terms
We may update these Terms at any time. Material changes will be notified via email or Service notification. Continued use after changes constitutes acceptance.

12.5 Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right.
